TERMS OF PARTICIPATION
Please READ carefully. By purchasing and registering for this service, you agree to the following Terms and Conditions (the “Terms”) between Celo Studio ("Company", "we", or "us") and you ("Client" or "You"). The Company and you may be referred to individually as a "Party" and collectively as the "Parties" in these Terms.

PROGRAM
The Company agrees to provide the program titled “Website in a Day” (the "Program"), which includes the following services, as outlined on the registration page:
Customization of a website template provided by the Company.
A 1-hour brand strategy call, if necessary.
A 30-minute website strategy call.
A provided brand color palette, including 4-6 colors, 2-3 fonts, and a brand vision.
Custom desktop and mobile versions of your website template, including full optimization of the Home Page, About Me Page, Services Page, and Contact Page.
Access to instructional videos to guide you in maintaining your website template.

FEES AND PAYMENT METHOD
You can choose to pay either as a lump sum or via a payment plan, which divides the cost into three payments:

1. The first payment is due upon signing the contract.
2. The second payment is due one week before the VIP day.
3. The final payment is due on the VIP day (launch day).

All payments must be completed in full before final deliverables are provided.

If you choose the payment plan, you remain responsible for completing all payments. Payments cannot be canceled or avoided. In the event of a missed payment, the Company will immediately suspend your access to the Program and any related features.
Payments will be processed via PayPal.

You agree to be financially responsible for all payments, whether paid in full or through the payment plan (as outlined above). If any payment is missed and collection attempts are unsuccessful, the remaining balance, plus a 30% fee, will be sent to a collections agency of our choosing.

All personal information provided by the Client during the payment process may be collected by both Celo Studio ("Company") and the Company’s third-party payment processing providers. This may include, but is not limited to, name, email address, billing information, and credit card number. Please review our Privacy Policy for information regarding how we handle customer personal data.

The third-party payment processing providers we use may have privacy policies and terms and conditions that differ from ours. The Company assumes no responsibility or liability for the independent policies of these third-party providers. Clients are encouraged to review the privacy policies and terms of these third-party payment processors on their respective websites.

Chargebacks are not accepted under any circumstances. If the Client needs to terminate the agreement before the Program begins, the Client forfeits all payments made to secure the scheduled day. No refunds will be issued.

The Client agrees to abide by these Terms and to pay the Company’s invoices on time. The Client also acknowledges and accepts the late payment clause outlined below.

Due to the nature of the Program and services offered by the Company, no refunds will be given for any services provided under this Program.
If the Client selects the payment plan, they authorize Celo Studio to automatically charge the Client's credit or debit card according to the terms specified in the Fees section above.

For recurring payments and unpaid invoices: If any payment methods we have on file for you are declined for the monthly fee, you must provide a new payment method promptly, or access to the Program will be terminated.
If the Client has an unpaid invoice for more than 10 days, Celo Studio reserves the right to terminate the client relationship and end the project.

Website Templates by Celo Studio Disclosure:
It is understood that the label "Designed by Celo Studio" will remain on the website to credit the design team and acknowledge the work involved. This label must remain hyperlinked to celostudio.com and cannot be removed unless explicitly approved by Cherry Naza, founder of Celo Studio.

Independent Contractor Status:
It is expressly agreed and understood that Celo Studio is performing services as an independent contractor for the Client. Celo Studio is not an employee or agent of the Client. The Company will have sole control over the methods used to perform the services, as well as the facilities and resources necessary to do so. Celo Studio agrees to pay any applicable taxes arising from the performance of services under this Agreement and to comply with all laws and regulations applicable to the Company's work or that of any employee or subcontractor. Celo Studio does not have the authority to make representations, enter contracts, or incur liabilities on behalf of the Client.

Work Product and Proprietary Information:

It is understood and agreed that all deliverables produced by Celo Studio ("Company") under this Agreement become the property of the Client once the Client has paid all compensation due under this Agreement in full, including the complete website created in Showit. If any deliverable is a work embodying intellectual property rights, including, but not limited to, copyright rights and other proprietary rights, Celo Studio hereby assigns to the Client all rights, titles, and interests therein.

Celo Studio retains the ability to use the deliverables produced under this Agreement for marketing, promotional, social media, and/or educational purposes, provided that (i) data will be anonymized, except for the Client’s name, domain URL, and information other than any of the Client’s intellectual or private property, and (ii) Celo Studio will protect the Client’s private data at all times. The Client agrees that the Company may use the website, both during and after development, in any marketing materials it chooses.

It is further understood and agreed that any client-specific information developed, obtained by, or provided to Celo Studio under this Agreement shall remain the property of the Client and will be subject to the Client’s sole control once the project and agreement are commenced.

The Client hereby authorizes, releases, and consents to Celo Studio’s use of the Client’s name, likeness, image, voice, and written word for promotional or advertising purposes.

Any design created by Celo Studio cannot be resold or redistributed to any third party unless they are an affiliate marketing partner of Celo Studio. If another designer works on a website created by Celo Studio in the Website in a Day experience, the website must retain the "Designed by Celo Studio" label in the website’s footer, with the text hyperlinked to celostudio.com for a period of five years after these terms have been agreed upon by the Client.

Confidentiality:

In the course of performance under this Agreement, Celo Studio may receive confidential information from the Client or its clients that pertains to client matters or the business of the Client, which is necessary for Celo Studio to perform the Company’s services for the Client.

"Confidential Information" includes all information, technical data, or know-how, including, but not limited to, the Client's research, products, hardware, software, designs, inventions, ideas, processes, drawings, business plans, product implementations, financial information, marketing techniques, business operations and systems, pricing policies, and information concerning employees, customers, and/or vendors disclosed by one party to another in writing, orally, by inspection, or otherwise.

Confidential Information shall include all information whose unauthorized disclosure could harm the Client’s interests, whether or not such information is specifically marked as "Confidential Information."

Confidential Information does not include information that Celo Studio can demonstrate:

i. Was in Celo Studio’s possession prior to being furnished under the terms of this Agreement, provided the source of that information was not bound by a confidentiality agreement with the Client;
ii. Is now, or hereafter becomes, publicly known through no fault of either party;
iii. Is rightfully obtained by Celo Studio from a third party without breaching any confidentiality obligation to the Client; or
iv. Is independently developed by Celo Studio without using or referencing the Confidential Information.

Celo Studio agrees to maintain the confidentiality of all such information at all times and will not use it except for the purposes of this Agreement. Celo Studio will take reasonable steps to protect confidentiality and ensure similar commitments from any employees or subcontractors to whom such information may be disclosed during the course of performance.

Non-Exclusivity:

The Parties acknowledge and agree that this Agreement is non-exclusive. The Client may engage third parties who provide similar services to those offered by Celo Studio, and Celo Studio may contract with and perform services for other third parties without restriction or limitation.

Assignment:

Neither Celo Studio nor the Client may assign the rights or obligations set forth in this Agreement without the written consent of the other party, which shall not be unreasonably withheld.

Notices:

Any notice required or desired under this Agreement shall be deemed to have been given when in writing and sent via email to the Client’s email address on file or provided upon registration for the Program, and to the Company at the Company’s email address: hello@celostudio.com.

Termination:

This Agreement will terminate if Celo Studio determines that working together is not a good fit. No products will be returned, and no refunds will be issued.

Entire Agreement:

This Agreement represents the complete and full understanding between the Parties regarding the subject matter and supersedes all prior or contemporaneous proposals, agreements, representations, and understandings, whether written or oral, related to the subject matter of this Agreement.

No Warranties:

Celo Studio’s services are provided "as is" without any warranty of any kind, whether express or implied. The Client agrees that Celo Studio is not liable to the Client or any other parties for damages of any kind, including but not limited to direct, indirect, incidental, consequential, and/or special damages.

Client Cooperation:

If Celo Studio is required to defend itself in any legal action, whether directly or indirectly involving the Client, the Client agrees to provide any documents, testimony, evidence, or other information that Celo Studio deems necessary, at no cost to Celo Studio.

Severability in Event of Partial Invalidity:

If any provision of this Agreement is found to be unenforceable, either in whole or in part, for any reason, the remaining provisions of the Agreement will still remain in effect and enforceable.

Waiver:

No failure or delay in exercising any right, remedy, or power under this Agreement will operate as a waiver of that right, remedy, or power.

Dispute Resolution:

This Agreement will be governed by and interpreted in accordance with the laws of Batangas City, Philippines, without regard to conflict of laws principles. All claims relating to or arising out of this contract, or the breach thereof, whether in contract, tort, or otherwise, shall be governed by the laws of Batangas City, Philippines, excluding conflict of laws principles.

The Parties hereby irrevocably consent to the jurisdiction of the state and federal courts located in Batangas City, Philippines, in any action arising out of or relating to this Agreement. By signing this Agreement, both Parties submit to the exclusive jurisdiction and venue of these courts and waive any defense of forum non-conveniens.

Deliverables Needed by Client Prior to Program:

(a) This section constitutes a strict deliverable agreement to ensure that Celo Studio can perform the tasks outlined in section one. The following materials need to be provided to us before the Branding Call on the day of the intensive:

The website template must be selected by the client.
The client needs to be signed up for Showit on a paid plan.
The client needs to add the Showit Key to their account prior to the design.
The client must reach out to Showit for domain transfer to get the appropriate URL.
The client must have already purchased the domain.
The client must migrate any blog or podcast if applicable.
Gather testimonials from past clients to use on the website.
Create freebies or lead magnets to use on the website.
Provide website copy for each of the pages.
Provide external links that will be used on the website.
Legal pages, including Terms of Use, Terms and Conditions, and Policy Page, must be created prior to the call. If the client does not have these, our team will recommend purchasing templates from our lawyer and doing them while we’re working on the website. If the client chooses not to use them or launch without them, Celo Studio is not responsible for any GDPR compliance issues or legal concerns related to the choice.
Client’s photos must be submitted to Celo Studio prior to the design.
Rescheduling and Cancellation Policy:

We understand that things happen. We allow one reschedule per client if done more than 24 hours before the scheduled intensive session. If there is an emergency within 24 hours, please contact us to discuss possible solutions.

(b) We expect our clients to remain communicative throughout the day. You’re welcome to take calls or go about your day while we design, but if questions arise, we need responses within one hour at most. If we haven’t heard from you in over an hour, we will proceed with the designs and you will lose the opportunity to provide edits on that section. To avoid this, please stay attentive and let us know if you have other commitments during our first call of the day.

Miscellaneous:

(a) This Agreement shall be construed in a manner that reflects its fair meaning and not strictly for or against either Party.
(b) Nothing that Celo Studio designs can be resold or repurposed as an item for sale, such as a template or brand kit.
(c) "Designed by Celo Studio" must remain in the footer of the website for the duration of its life, unless agreed upon by Celo Studio.
(d) It is the client's responsibility to provide all content, including images, copy, and external links. If this content is not provided, it may prevent the site from going live during the one-day intensive. The client can choose to launch the site on their own terms if their timeline requires it, and will release Celo Studio from responsibility for launching the new website.
(e) The VIP Day is a partnership and collaboration, and both parties must work together to complete the project efficiently.
(f) If the client has not paid an invoice for more than 30 days, Celo Studio may refer the collection of the unpaid amount to an attorney or collections agency. The client will be responsible for all reasonable attorney or collections agency fees, as well as the time spent by Celo Studio in collecting payment.
(g) Celo Studio reserves the right to discontinue work until the compensation due under this Agreement is paid in full. Celo Studio also reserves the right to terminate this Agreement if the client fails to pay the compensation due.

THE PARTIES HAVE READ AND UNDERSTOOD THE FOREGOING TERMS AND AGREE TO THEM.
